By accessing or using Wizzy ("Service"), you agree to be bound by these Terms of Use ("Terms"). If you disagree with any part of these terms, you do not have permission to access the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. NO WARRANTIES OR GUARANTEES

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We specifically disclaim all warranties and conditions of any kind, including but not limited to:

  • IMPLIED WARRANTIES OF MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • TITLE AND NON-INFRINGEMENT
  • ACCURACY, RELIABILITY, OR COMPLETENESS OF CONTENT
  • UNINTERRUPTED OR ERROR-FREE SERVICE
  • SECURITY OF YOUR DATA OR CONTENT
  • RESULTS OBTAINED FROM USE OF THE SERVICE

WE DO NOT GUARANTEE THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.

3. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY DAMAGES ARISING FROM YOUR USE OF THE SERVICE.

This includes, but is not limited to:

  • DIRECT, INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES
  • LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
  • DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO YOUR DATA
  • DAMAGES FROM INTERRUPTION OR CESSATION OF SERVICE
  • DAMAGES FROM BUGS, VIRUSES, OR OTHER HARMFUL COMPONENTS
  • DAMAGES FROM ERRORS, MISTAKES, OR INACCURACIES IN CONTENT
  • PERSONAL INJURY OR PROPERTY DAMAGE
  • DAMAGES FROM THIRD-PARTY CONTENT OR CONDUCT

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE PAST TWELVE MONTHS, OR $100, WHICHEVER IS LESS.

4. INDEMNIFICATION

YOU AGREE TO INDEMNIFY AND HOLD US HARMLESS

You agree to defend, indemnify, and hold harmless Wizzy, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms
  • Your use of the Service
  • Your User Content
  • Your violation of any law or rights of a third party
  • Any claim that your User Content caused damage to a third party

5. Use at Your Own Risk

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT:

  • Your use of the Service is at your sole risk
  • We are not responsible for any content you create, share, or store using the Service
  • We do not guarantee the accuracy, completeness, or usefulness of any information on the Service
  • We are not responsible for any errors or omissions in the Service
  • You are solely responsible for maintaining backups of your content
  • We may modify, suspend, or discontinue the Service at any time without notice

6. Service Availability

  • The Service may be unavailable at any time for any reason
  • We do not guarantee continuous, uninterrupted, or secure access
  • We may perform maintenance without notice
  • We are not liable for any unavailability of the Service
  • We reserve the right to refuse service to anyone at any time

7. User Content and Responsibilities

You retain ownership of content you create, but you grant us a license to use it:

  • You are solely responsible for your User Content
  • We are not obligated to monitor or review User Content
  • We may remove any User Content at our sole discretion
  • You grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and distribute your User Content as necessary to provide the Service
  • You represent that you have all necessary rights to your User Content
  • We are not responsible for any loss or damage to your User Content

8. Prohibited Uses

You agree not to use the Service to:

  • Violate any laws or regulations
  • Infringe on intellectual property rights
  • Transmit malicious code or viruses
  • Engage in unauthorized access or hacking
  • Harass, abuse, or harm others
  • Create false or misleading content
  • Spam or send unsolicited communications
  • Interfere with the Service's operation
  • Circumvent any security features
  • Use the Service for illegal purposes

9. Third-Party Services

WE ARE NOT RESPONSIBLE FOR THIRD-PARTY SERVICES

The Service may contain links to or integrate with third-party services. We are not responsible for:

  • The content or practices of third-party services
  • Any damages arising from your use of third-party services
  • The availability or functionality of third-party services
  • Any transactions between you and third parties

10. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Service will cease immediately. We are not liable to you or any third party for any termination of your access to the Service.

11. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the European Union and Germany, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the European Court of Arbitration.

YOU WAIVE YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS ACTION LAWSUITS.

12. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemic, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

13. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be replaced with a valid and enforceable provision that most closely matches the intent of the original provision.

14. Entire Agreement

These Terms constitute the entire agreement between you and Wizzy regarding the use of the Service, superseding any prior agreements between you and us regarding the Service.

15. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect. Your continued use of the Service after any changes constitutes acceptance of the new Terms.

16. No Waiver

Our failure to enforce any right or provision of these Terms shall not be considered a waiver of those rights. If we do not exercise or enforce any legal right or remedy contained in these Terms, it does not constitute a formal waiver of our rights.

17. Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign our rights and obligations under these Terms without your consent.
